One of the first and biggest mistakes in a franchise relationship starts from a poorly designed franchise agreement. Every business and brand is unqiue in its business model and one cannot simply copy and paste from past agreements.
A robust agreement could be critical to a brand while seem as overbearing and scare away potential franchisees without providing the franchisor a meaningful benefit. Conversely, a overly simplistic agreement might expose the franchisor and franchisee to burdensome terms will never be enforced, and some, if the franchisor tried to enforce them, would be found to be unconscionable.
